Terms of Service

Last updated: September 25, 2026

Welcome to WellsWorkforce. These Terms of Service (“Terms”) govern your use of the WellsWorkforce platform (the “Platform”), operated by WellsWorkforce (“we,” “us,” “our”). By creating an account or using the Platform, you agree to these Terms.

1. Independent Contractor Status

Contributors who join WellsWorkforce and complete paid tasks, studies, or projects through the Platform do so as independent contractors, not as employees, agents, or partners of WellsWorkforce. Nothing in these Terms creates an employment relationship between WellsWorkforce and any Contributor.

As independent contractors, Contributors are solely responsible for:

  • Determining how and when they complete accepted work, subject to any deadlines specified for a given task, study, or project;
  • Reporting and paying all applicable income taxes, self-employment taxes, and any other tax obligations arising from earnings received through the Platform, in accordance with the laws of their country and locality of residence;
  • Any business registration, permits, or licenses required in their jurisdiction to perform work as an independent contractor.

WellsWorkforce does not withhold taxes, provide employment benefits, workers' compensation coverage, or any other employment-related entitlements to Contributors.

2. Eligibility and Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Contributor Vetting and Conduct

All Contributors are subject to a vetting process, including review of submitted qualifications (such as resume/CV and LinkedIn profile), before being approved for paid work. WellsWorkforce reserves the right to approve, reject, or later revoke a Contributor's access to the Platform at its sole discretion, including for violations of these Terms, quality or conduct concerns, or fraudulent activity.

4. Client Use of the Platform

Clients using the Platform to post studies or projects are responsible for the accuracy of the information they provide, including eligibility criteria, compensation offered, and task requirements. Clients agree to compensate Contributors fairly and in accordance with the terms agreed upon at the time of posting.

5. Payments

Compensation for completed work is tracked through the Platform. WellsWorkforce may take a service fee from amounts paid by Clients before compensation is made available to Contributors, as disclosed at the time a study or project is posted. Payment processing mechanisms and payout methods may evolve as the Platform develops.

6. Prohibited Conduct

Users agree not to: provide false or misleading information; attempt to circumvent the Platform's vetting, matching, or eligibility systems; misuse another user's personal information; or use the Platform for any unlawful purpose.

7. Intellectual Property

The Platform, including its design, branding, and underlying technology, is the property of WellsWorkforce. Work product created by Contributors for a specific Client study or project is governed by the terms disclosed for that specific engagement.

8. Limitation of Liability

The Platform is provided “as is.” WellsWorkforce does not guarantee the availability of paid work at any given time, the conduct of any Client or Contributor, or the outcome of any study or project. To the fullest extent permitted by law, WellsWorkforce is not liable for indirect, incidental, or consequential damages arising from use of the Platform.

9. Termination

WellsWorkforce may suspend or terminate any account's access to the Platform at any time, for any reason, including violation of these Terms.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict of law principles.

12. Contact Us

Questions about these Terms can be directed to wellsworkforce@outlook.com.

Section 11's governing-law reference to Kenya should be updated once company registration is finalized, to reflect the exact registered jurisdiction.
